What will I take home from selling my business?

How is it calculated?

  • Cash before tax = price − broker fee − legal and accounting − debts − other costs.
  • On a share sale, capital gain ≈ price − selling costs − your cost base. The LCGE ($1,275,000 for 2026, per the CRA) comes off the gain if the shares qualify. Half of what is left is taxable, taxed at the rate you enter.
  • On an asset sale, the company sells the assets and pays tax first, and you pay tax again when you take the money out. That needs your accountant.

Not included: alternative minimum tax, which can apply to large gains with the LCGE, earn-outs, holdbacks, vendor financing, working capital adjustments, and the 24-month and 90% tests for qualifying shares. Source: CRA, capital gains deduction limit, checked October 20, 2026.
